TERMS & CONDITIONS
Effective 22 September 2026
1. About us
Spotlight Studio is a trading name operated by TAPD MEDIA CO LTD, company number 16917478, with registered office at 167-169 Great Portland Street, London, England, W1W 5PF. These terms apply to services supplied by Spotlight Studio to business clients unless a separate written proposal, quotation or service agreement states otherwise.
2. Quotations and guide prices
Prices displayed on this website are indicative guides only. No two businesses or projects are identical, so a final quotation is confirmed after we have enough information to understand the required scope. A final price may be lower or higher than a guide price shown on the website. A quotation is not binding until accepted by the client and confirmed by us in writing.
Unless stated otherwise, third-party costs such as advertising spend, domains, hosting, software, printing, travel, talent, creator fees, stock assets or specialist suppliers are separate. VAT will be added where legally applicable.
3. Scope of work
The agreed scope is the work described in the accepted quotation, proposal, email confirmation or service agreement. Requests outside that scope may require an additional quotation. Timelines are estimates unless expressly agreed as fixed deadlines.
4. Payment
Payment timing, deposits, recurring charges and any staged payments will be set out in the relevant quotation or agreement. We may pause work or withhold final deliverables where an amount is overdue. The client remains responsible for agreed third-party costs and work already completed or committed on their behalf.
5. Monthly and ongoing services
Where services are supplied monthly, the included volume and level of account support are those stated in the agreed package or quotation. Unused deliverables do not automatically roll over unless agreed in writing. Higher-volume activity, unusually complex content, additional locations or requirements outside the agreed package may be quoted separately.
6. Revisions and approvals
Reasonable revisions included in a service will be confirmed in the scope. Additional revisions, changes after approval or changes caused by new instructions may be chargeable. The client is responsible for reviewing work carefully and providing approvals, corrections and feedback in a timely manner.
7. Client responsibilities
The client must provide accurate information, timely access to relevant accounts and systems, necessary brand assets, and any approvals required for us to perform the services. The client is responsible for ensuring that material supplied to us may lawfully be used and does not infringe third-party rights.
8. Content production, photography and filming
Shoot time, locations, talent, equipment and deliverables are agreed in advance. Additional locations, filming time, travel, specialist equipment or talent may be charged separately. Raw footage, editable project files and unused material are not included unless expressly agreed.
9. Social media and community management
Where we manage social accounts, the client remains responsible for the underlying business, prices, products, fulfilment, customer service policies and legal compliance. We may use client-approved information to answer routine enquiries and may refer complaints, refunds, sensitive matters or unusual requests back to the client. Platform outages, account restrictions and algorithm changes are outside our control.
10. Websites and digital services
Website services are delivered according to the agreed scope. The client is responsible for the accuracy and legality of its business information, products, prices, policies and claims. Third-party services, domains, hosting, payment providers, booking systems, plugins and other software may have their own charges and terms. We cannot guarantee uninterrupted availability of third-party services, specific search-engine rankings, traffic levels or sales.
11. Advertising, creators and campaigns
Advertising spend and creator or influencer fees are separate unless expressly included. We may provide strategy, setup, management and creative services, but we do not guarantee a particular number of views, followers, enquiries, sales, bookings, revenue or return on advertising spend. Results depend on factors beyond our control, including the client offer, market conditions, platform delivery and audience response.
12. Intellectual property
Once all amounts due for the relevant work are paid, the client may use the final approved deliverables for the business purposes for which they were created. Where a project includes bespoke logo or brand identity work, ownership or the applicable commercial usage rights in the final approved bespoke assets will pass as stated in the project scope. Spotlight Studio retains ownership of its pre-existing materials, templates, methods, systems, code libraries, working files, know-how and tools. Third-party assets remain subject to the relevant third-party licences.
13. Portfolio use
Unless the client asks us in writing not to do so before publication, we may identify completed work and display final public-facing deliverables in our portfolio, website, social media and pitches for the purpose of demonstrating our work. We will not knowingly publish confidential information.
14. Confidentiality
Each party will take reasonable care of confidential information received from the other and use it only for the relevant business relationship, except where disclosure is required by law or the information is already public through no breach of confidence.
15. Cancellations and termination
Project-specific cancellation or notice terms will be set out in the quotation or service agreement where relevant. If no specific term is stated, the client remains responsible for work already performed and non-cancellable costs or commitments made on its behalf. We may suspend or terminate services for material non-payment, unlawful instructions, abuse or serious breach of the agreed terms.
16. Liability
Nothing in these terms excludes liability that cannot lawfully be excluded. Subject to that, Spotlight Studio is not liable for indirect or consequential loss, loss caused by inaccurate client instructions, third-party platform failures, or business results that were not expressly guaranteed. Our aggregate liability arising from a project or ongoing service will not exceed the fees paid to us for the affected project or, for an ongoing service, the fees paid for the six months immediately preceding the event giving rise to the claim.
17. General
If any provision is unenforceable, the remaining provisions continue in effect. A failure to enforce a right is not a waiver of that right. These terms and any agreed project documents form the agreement between the parties concerning the services and replace prior discussions on the same scope to the extent of any inconsistency.
18. Governing law
These terms are governed by the laws of England and Wales, and the courts of England and Wales have jurisdiction over disputes arising from them.
